Korte samenvatting van de beslissing:
De VRM ontvangt een klacht van VZW ZinFM tegen de lokale radio-omroeporganisatie VZW Radio Pallieter, dit naar aanleiding van “de overname” van Radio Pallieter.
Radio Pallieter is erkend als lokale radio-omroeporganisatie voor het frequentiepakket FP 106 – Lier 106.4 MHz / Nijlen 105.3 MHz.
ZinFM voert aan dat de een bij VZW Radio Pallieter doorgevoerde bestuurderswissel een duidelijke vorm van cross-ownership zou zijn, hetgeen in strijd zou zijn met artikel 145, 2°, a), van het Mediadecreet.
Uit de memorie van toelichting bij deze bepaling blijkt dat de decreetgever cross-owernship tussen lokale radio-omroeporganisaties en/of de achterliggende vennootschappen heeft willen verbieden, maar bepaalde vormen van samenwerking niet volledig heeft willen uitsluiten.
Daarnaast wordt zeggenschap voor de toepassing van het Mediadecreet in de parlementaire stukken omschreven als rechten, overeenkomsten of andere middelen die afzonderlijk of gezamenlijk met inachtname van alle feitelijke en juridische omstandigheden, het mogelijk maken een bepalende invloed uit te oefenen op de activiteiten van een onderneming.
Het louter bestaan van huwelijkse, relationele en/of familiale banden in de bestuursorganen van de betrokken organisaties – hoewel het bestaan ervan bij de klager begrijpelijkerwijs de indruk kan wekken dat beide rechtspersonen niet volledig onafhankelijk opereren – brengt op zich niet mee dat er sprake is van rechtstreekse of onrechtstreekse bindingen en/of zeggenschap in de zin van artikel 145, 2°, a), van het Mediadecreet.
Op basis van de gegevens waarover de VRM thans beschikt, kan dan ook geen inbreuk op bovenstaand onderdeel van het Mediadecreet worden vastgesteld.
Artikels 146, § 2, van het Mediadecreet bepaalt in welke mate lokale radio-omroeporganisaties tijdens de duur van hun erkenning wijzigingen kunnen aanbrengen met betrekking tot hun erkenning en welke regels zij dienen na te leven bij het doorvoeren van wijzigingen.
Lokale radio-omroeporganisaties dienen zich voor de volledige duur van hun erkenning aan de basisvoorwaarden te houden (artikel 146, §2, eerste lid, van het Mediadecreet). Via een kennisgeving aan de VRM kunnen zij wel wijzigingen aanbrengen aan de gegevens uit de ingediende offerte, waardoor wordt afgeweken van verschillende aanvullende kwalificatiecriteria, waarbij een ‘wachtperiode’ geldt wat wijzigingen aan het muziekprofiel, de thematische invulling van het programma-aanbod of het doelgroepengericht programma-aanbod betreft (artikel 146, §2, tweede en derde lid, van het Mediadecreet). Wijzigingen die betrekking hebben op de statuten of de aandeelhoudersstructuur ten slotte moeten ook aan de Vlaamse Regering ter goedkeuring worden voorgelegd (artikel 146, §2, laatste lid, van het Mediadecreet).
Opdat de VRM nuttig toezicht zou kunnen houden op de naleving van de basisvoorwaarden, volgt uit artikel 146, §2, eerste lid, van het Mediadecreet dat de lokale radio-omroeporganisaties ook een kennisgeving aan de VRM dienen te doen bij het aanbrengen van wijzigingen die betrekking hebben op de basisvoorwaarden (maar nooit een afwijking ervan mogen inhouden).
Dat in voorliggend geval de basisvoorwaarde aangaande het verbod op rechtstreekse of onrechtstreekse bindingen niet geschonden blijkt te zijn, doet geen afbreuk aan de verplichting om hiervan een kennisgeving te doen bij de VRM, zoals Radio Pallieter voorhoudt. Evenmin is dit het geval indien een bestuurderswissel geen van de specifiek beschreven wijzigingen betreft uit het tweede, derde of vierder lid van artikel 146, §2, van het Mediadecreet.
Uit het voorgaande volgt dan ook dat Radio Pallieter een inbreuk heeft begaan op artikel 146, §2, eerste lid, van het Mediadecreet door een bestuurderswissel door te voeren zonder daarvan een kennisgeving te doen aan de VRM.
Gelet op het feit dat het een eerste dergelijke inbreuk betreft van Radio Pallieter, spreekt de VRM een waarschuwing uit.
